Terms of Service

The agreement between you and UltimaTrader for the use of the UltimaTrader website, web application and software.

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the UltimaTrader website at ultimatrader.com, the UltimaTrader web application (the “cabinet”), the UltimaTrader sign-in service, and all associated software, AI features, automation tools, data, content and services (collectively, the “Platform”). “UltimaTrader”, “we”, “our” and “us” refer to the operator of the Platform. “You” and “your” refer to the person using the Platform.

By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, our Cookie Policy, our Risk Disclosure and our Refund Policy, each of which forms part of these Terms. If you do not agree with any part of these Terms, do not use the Platform.

You are expected to read these Terms carefully and, where you consider it appropriate, to have them reviewed by your own legal or other advisers before using the Platform.

2. What UltimaTrader Is

UltimaTrader is software and information. The Platform provides market information, analytical tools, AI features and software functions that you may configure and use with brokerage or exchange accounts that you hold yourself.

UltimaTrader does not:

trade on your accounts or on accounts of any other person;
manage your accounts, portfolio or assets;
make investment decisions on your behalf;
hold, receive or control your money, securities or digital assets;
give investment, financial, legal or tax advice.

Your brokerage or exchange account, the money and assets in it, the decision to enable any automation function, its settings, and every result of its operation are yours alone. Any automation is a function of the software that you choose to enable for your own account, that operates only within the settings you choose, and that you can switch off at any time, either in the Platform or by revoking the access key at your broker or exchange.

3. Early Access

The Platform is currently offered as early access. During early access:

nothing can be purchased, and no fees are charged;
you may leave your email address, register an account and view the cabinet;
features may be incomplete, presented with demonstration data, limited or unavailable;
trading-related functions are enabled separately, if and when they become available.

We may change, suspend or withdraw any feature of the Platform, or end early access, at any time and without liability to you.

4. Eligibility

To access and use the Platform, you must:

be at least 18 years old and of legal age to enter into a binding contract in your jurisdiction;
use the Platform only for your own personal purposes unless we have agreed otherwise in writing;
not have been previously suspended or removed from the Platform;
not be located in, or a resident of, a jurisdiction where the use of the Platform or of the services you connect to it is prohibited;
not be subject to economic sanctions or trade restrictions;
comply with all laws and regulations that apply to you, including those concerning securities, digital assets and financial services.

The Platform may not be available in all jurisdictions. You are solely responsible for determining whether your use of the Platform is lawful where you are.

5. Account Registration

You may register by email and password or by signing in with Google. When registering for and using an account, you agree to:

provide truthful, accurate, current and complete information;
keep your sign-in details confidential and secure;
be solely responsible for all activity under your account;
notify us promptly of any unauthorised use of your account or any security breach;
not sell, transfer or assign your account or sign-in details to anyone else;
not create multiple accounts to circumvent limitations or restrictions.

We may suspend, deactivate or close your account at our discretion, including for breach of these Terms, suspicious activity or security concerns.

6. Your Brokerage and Exchange Accounts

Where the Platform allows you to connect a brokerage or exchange account:

the account is opened and held by you with a third-party provider under that provider's own terms, and UltimaTrader is not a party to that relationship;
you decide whether to connect an account, which access key to use and which permissions to grant it;
you should grant only the permissions the function requires, and never withdrawal or transfer permissions;
you are solely responsible for the security of your access keys, for the settings you choose and for every order placed under your account;
you may disconnect an account or revoke an access key at any time; doing so does not cancel or reverse orders already submitted or positions already open, which remain your responsibility.

Brokers, exchanges and their interfaces are outside our control. We are not responsible for their availability, execution, fees, errors, insolvency or other acts or omissions.

7. Intellectual Property

The Platform and all content, software, models, strategies, algorithms, data compilations, designs, trademarks, logos and documentation on or behind it are owned by or licensed to UltimaTrader. These Terms do not transfer any of these rights to you.

You agree not to:

copy, reproduce, distribute, sell or exploit any part of the Platform without our prior written permission;
reverse engineer, decompile, disassemble or attempt to derive the source code, models, strategies or algorithms of the Platform;
copy, replicate or reconstruct the strategies, signals, logic or outputs of the Platform, or use them to build or improve a competing product or service;
create derivative works based on the Platform;
use our trademarks, logos or brand elements without permission;
remove or alter any copyright, trademark or other proprietary notice.

8. No Affiliation and Third-Party Materials

UltimaTrader is an independent software and information service. We are not affiliated, associated, authorised, endorsed by or in any way officially connected with any broker, exchange, trading platform, index provider, publication or other third party referred to on the Platform.

All product and company names, logos, brands and other trademarks referred to on the Platform are the property of their respective owners. Any such reference is for identification and information only and does not imply any endorsement, partnership or sponsorship.

The publications shown on our website link to articles that are third-party materials about the market for AI-assisted trading. These articles are not about UltimaTrader, do not mention or endorse UltimaTrader, and are provided for general information only. We do not control and are not responsible for their content.

9. Licence and Permitted Use

Subject to these Terms, we grant you a personal, limited, non-exclusive, revocable and non-transferable licence to access and use the Platform for your own personal purposes.

You agree not to:

use robots, scrapers, data mining or similar automated means to access or extract data from the Platform;
aggregate, redistribute or commercialise any content or output of the Platform;
introduce malware or otherwise interfere with or disrupt the security or operation of the Platform;
probe, scan or test the vulnerability of the Platform, or circumvent any security, rate limit or access control;
use the Platform in breach of any law, including laws on market abuse, sanctions, money laundering and the financing of terrorism;
use the Platform to manipulate any market or to engage in fraudulent or deceptive activity;
impersonate any person or misrepresent your identity or affiliation.

10. AI Features

The Platform uses AI features to analyse markets, select and describe strategies and present information. By using them, you accept that:

outputs of AI features may be inaccurate, incomplete, outdated or unsuitable for you;
AI features have limitations and may reflect biases in their models and data;
AI features analyse market data and do not take account of your personal circumstances, objectives or financial situation;
no output of an AI feature is a recommendation, a forecast or a guarantee of any result;
you remain solely responsible for whether and how you use any output, including in any automation you enable.

11. Market Information and Performance Figures

All information on the Platform, including market data, analysis, strategy descriptions, signals and figures, is provided for general information. Nothing on the Platform is investment, financial, legal or tax advice, or a recommendation or solicitation to buy, sell or hold any security, digital asset or other instrument.

Performance figures shown on our website are advertising materials. Details are available on personal request and are discussed in personal communication. Past results do not guarantee future results, and no figure on the Platform is a promise of any return.

Trading involves substantial risk of loss. Our Risk Disclosure forms part of these Terms.

12. Fees

During early access, the Platform is provided free of charge. If paid plans are introduced, their prices and the terms for payment, renewal and refunds will be published before any payment is taken. Our Refund Policy applies to any payment.

13. Feedback

Any feedback you give us, including suggestions, ideas, feature requests and bug reports, is non-confidential and non-proprietary. We may use it for any purpose without obligation, attribution or compensation to you.

14. Disclaimer

The Platform and all content and services on it are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory. To the fullest extent permitted by law, we disclaim all warranties, including:

warranties of accuracy, completeness, timeliness, reliability or availability of the Platform or any information on it;
warranties that the Platform, any AI feature or any automation will operate without error, interruption or delay;
warranties of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement.

We do not guarantee the accuracy of market data, the availability of data feeds or third-party services, or compatibility with any broker, exchange or system. We have no obligation to update or correct any information on the Platform.

15. Limitation of Liability

To the fullest extent permitted by law, UltimaTrader will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any of the following, however arising:

trading losses, investment losses or the results of any automation;
loss of profits, revenue, business or opportunity;
loss or corruption of data;
interruptions, delays, errors or unavailability of the Platform;
unauthorised access to your account, devices or access keys;
acts, omissions, failures or insolvency of brokers, exchanges or other third parties.

Our total aggregate liability arising out of or in connection with these Terms or the Platform will not exceed the greater of USD 100 and the total amount you paid to UltimaTrader in the 12 months preceding the event giving rise to the claim.

These limitations reflect the allocation of risk between you and us and apply even if a limited remedy fails of its essential purpose. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

16. Indemnification

You agree to indemnify, defend and hold harmless UltimaTrader and its officers, employees, contractors and partners from and against all claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or in connection with:

your use or misuse of the Platform;
your breach of these Terms or of any law;
your trading and investment decisions, the automation you enable and the settings you choose;
your brokerage or exchange accounts and access keys;
any infringement by you of the rights of a third party.

We may assume the exclusive defence and control of any matter subject to indemnification by you, in which case you will cooperate fully with us.

17. Third-Party Services and Links

The Platform relies on and links to third-party services, including brokers, exchanges, Google sign-in, email delivery and network providers, and to third-party websites. We do not control and are not responsible for:

the content, privacy practices or security of third-party services or websites;
their availability, performance or reliability;
any transaction or interaction between you and a third party;
third-party fees, terms or policies.

Your use of any third-party service is at your own risk and subject to that third party's terms.

18. Changes to These Terms

We may change these Terms, the Platform and its features at any time. The updated Terms are published on this page with a new date. Your continued use of the Platform after the update means you accept the updated Terms. Where a change is material, we may also notify you by email or within the Platform.

19. Suspension and Termination

We may suspend or terminate your access to the Platform, or close your account, at our discretion and without prior notice, including if you breach these Terms, engage in prohibited or unlawful conduct, pose a security risk, or if we discontinue the Platform or any part of it.

You may stop using the Platform at any time and may ask us to close your account by contacting us.

On termination, all licences granted to you end and you must stop using the Platform. We may delete your account and associated data in accordance with our Privacy Policy. Termination does not affect orders already submitted or positions already open at your broker or exchange, which remain your responsibility. Sections 2, 6, 7, 8, 11 and 13 to 21 survive termination.

20. Governing Law and Disputes

These Terms and any dispute or claim arising out of or in connection with them or the Platform, including non-contractual disputes, are governed by the laws of England and Wales.

Before starting formal proceedings, you and we agree to try in good faith to resolve any dispute through direct communication for a period of sixty (60) days.

Any dispute not resolved within that period will be finally resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA). The seat of arbitration is London, England. The tribunal will consist of a single arbitrator, the language of the arbitration is English, and the arbitration is confidential except as required to enforce an award.

Either party may seek urgent injunctive relief from a competent court to protect its intellectual property or confidential information.

You agree to bring claims only in your individual capacity and waive any right to bring or take part in a class, collective or representative action or arbitration against UltimaTrader.

21. General

Entire agreement. These Terms, together with the documents they refer to, are the entire agreement between you and us about the Platform and supersede all prior communications and proposals.

Severability. If any provision of these Terms is found invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full force.

Assignment. We may assign or transfer these Terms or any of our rights and obligations without your consent. You may not assign or transfer these Terms without our prior written consent.

Force majeure. We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, acts of government, changes in law, network or power failures, cyberattacks, outages of brokers, exchanges or data providers, market disruptions and public health emergencies.

Notices. We may give you notices by email to the address on your account or by publishing them on the Platform. You may give us notices at the address in the Contact section below.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or of any other provision.

Language. These Terms are written in English. Any translation is for convenience only, and the English version prevails.
